Bridging Classroom Auditing to Field Audit Reality

While the CA Intermediate and Final curricula require memorizing the 21 clauses of CARO 2020, executing a statutory audit on the ground demands rigorous documentary substantiation. For an articled assistant on a corporate audit engagement under Section 143 of the Companies Act 2013, CARO verification is not a mechanical checklist—it is an evidential investigation governed by the Standards on Auditing (SA 230, SA 500, and SA 501).

1. Clause (i): Property, Plant & Equipment (PPE) & Title Deeds

Clause (i) requires verifying whether the company maintains proper records of PPE, whether management physically verifies assets at reasonable intervals, and whether title deeds of immovable properties are held in the company's name:

  • Fixed Asset Register (FAR) Reconciliation: Reconcile the quantitative details, location markers, and written-down values in the FAR with the general ledger trial balance.
  • Title Deeds Verification (Clause i(c)): Examine original registered sale deeds, conveyance deeds, or lease agreements for land and buildings. If mortgaged with lenders, obtain formal bank custody confirmations under SA 505.
  • Benami Proceedings Disclosure (Clause i(e)): Review legal representation letters and verify whether any proceedings have been initiated or are pending against the company for holding benami property under the Prohibition of Benami Property Transactions Act, 1988.

2. Clause (ii): Inventory Verification & Bank Working Capital Limits

Inventory is the lifeblood of manufacturing and trading enterprises. Clause (ii) imposes a stringent standard on physical verification and quarterly reporting to lenders:

Clause ii(a): 10% Discrepancy Rule

Verify whether physical stock count was conducted by management at reasonable intervals. If discrepancies of 10% or more in the aggregate for each class of inventory were noticed, confirm that they have been properly dealt with in the books of account.

Clause ii(b): Working Capital Exceeding ₹5 Cr

If sanctioned working capital limits from banks/financial institutions exceed ₹5 Crore on the basis of security of current assets, cross-examine quarterly stock statements filed with banks against general ledger books. Any material variances must be reported in tabular format.

3. Clause (vii): Undeposited Statutory Dues Exceeding 6 Months

Under Clause (vii)(a), the auditor must report any undisputed statutory dues—including Provident Fund, Employees' State Insurance, Income Tax, Goods and Services Tax, Customs Duty, Cess, and other statutory dues—which have remained un-deposited for more than six months from the date they became payable as on the balance sheet date:

Filter general ledger accounts for statutory liability provisions (e.g., GST Output Liability, TDS Payable u/s 194C/194J, EPF Payable) as of March 31. Identify dates of accrual. If a liability accrued on or before September 30 remains un-deposited on March 31, it must be tabulated with the forum, amount, and due date in the CARO Annexure.

4. Clause (xi): Fraud Reporting & Form ADT-4 Thresholds

Auditing for fraud requires sharp skepticism under SA 240. Clause (xi) requires the auditor to state:

  • Whether any fraud by the company or any fraud on the company has been noticed or reported during the year. If yes, the nature and the amount involved must be indicated.
  • Whether any report under sub-section (12) of Section 143 has been filed by the auditors in Form ADT-4 with the Central Government (Ministry of Corporate Affairs).
  • Whether the auditor has considered whistle-blower complaints, if any, received during the year by the company.

5. Clause (xvii): Cash Losses Computation

Under Clause (xvii), the auditor must report whether the company has incurred cash losses in the financial year and in the immediately preceding financial year, and if so, state the exact amount of cash losses:

Practical Calculation Formula: Cash Loss = Profit/(Loss) After Tax (PAT) as per Statement of Profit & Loss
Minus Non-Cash Credits (e.g., reversal of excess provisions, fair value gains)
Plus Non-Cash Debits (e.g., Depreciation, Amortization, Impairment losses under Ind AS 36, Unrealized foreign exchange losses).

6. Audit Documentation Hygiene (Standard on Auditing 230)

An audit finding without an organized working paper is legally indefensible. In modern peer-reviewed practices, articles must structure their audit documentation with:

  • Clear alphanumeric lead schedules cross-referenced to trial balance line items.
  • Standard audit ticks (e.g., Vouching, Casting, Ledger Postings, Bank Confirmations).
  • Documented sample selection rationale in accordance with SA 530 (Audit Sampling).
  • Explicit conclusion signed and dated by the articled assistant and reviewed by the audit manager and engagement partner.
